XYZ Digital Markets Pay-Per-Click Service (the "PPC Service" or the "Service") is a web-based lead generation service that may be purchased by software and service providers (may referred to herein as “vendors” or "providers” looking to upgrade their basic profile to a Sponsored Profile, where Vendor may create one or more PPC campaigns in order to generate leads and receive the deliverables listed below. PPC Campaigns allow buyers actively searching for business software or services across the XYZ Digital Markets platform to click through Vendor's sponsored profile to a landing page. Leads are generated from those user clicks.
In this Service Description, references to "we", "us" or "XYZ Digital Markets" are references to the XYZ Corporation, parent company that is the party to the General Vendor Terms in the Vendor's location, on behalf of the affiliate companies composing the XYZ Digital Markets group: AIAgentLink.ai, FindArt.ai. References to "Vendor" or "you" or "your" are references to the company purchasing the PPC Service. All capitalized terms not defined herein are defined in the Glossary (https://www.aiagentlink.ai/legal/glossary/).

Eligibility
To be eligible to receive the PPC Service, Vendor must:
Access
Access to PPC Services is provided through the XYZ Digital Markets account via personalized login credentials (i.e. username and password). Users are wholly responsible for safeguarding their credentials. Users with Admin permissions may create, remove, and manage the access levels of users. Vendors may create user credentials for 3rd parties when authorized by XYZ Digital Markets.
Fees and Payment Terms
Fees are solely based on our measurements for the applicable Program unless otherwise agreed to in writing. For the PPC Service, Vendor shall be responsible for all fees resulting from the budget set and the resulting click activity received from the time a campaign is started until the campaign is turned off and shall pay all fees in accordance with the payment terms set forth in the General Vendor Terms.
Conversion Tracking
You can Enroll in Conversion Tracking through the Conversion Tracking page under the PPC Bidding tab in your XYZ Digital Markets account. Vendor may install our lightweight Conversion Tracking Snippet (“Code Snippet”) in order to have timely and accurate access to campaign performance data through the Vendor Click Report available within the XYZ Digital Markets account. This data will allow both Vendor and XYZ Digital Markets to identify opportunities for expedient campaign optimization. The Code Snippet for Conversion Tracking is found on the Conversion Tracking page under the PPC Bidding tab in the XYZ Digital Markets account. Conversion reporting will begin after the code has been installed on Vendor’s website and Vendor has enrolled. Conversions will be reported on a Click Report within the XYZ Digital Markets account.
The timeframe for a Conversion is 30 days from the day of the Click. Reports of conversions are based on our definition of a Click. In rare cases, the accuracy of conversion reporting may be affected by the downtime of our servers. Vendor is solely responsible for the viability of all links to the Vendor website and proper installation of the Code Snippet to ensure accurate conversion reporting. XYZ Digital Markets is not responsible for anything related to the Vendor’s website. Should the Vendor change its website at any time, the Code Snippet must remain installed correctly to ensure accurate conversion reporting. To stop Conversion Tracking, Vendor must remove the Code Snippet from its website. Conversion Tracking reporting through the Click Report will cease when the Code Snippet is removed.
Bidding
Based on the account spend threshold and functionality available, the Vendor will participate in either flexible (manual) bidding or automated bidding for PPC campaigns. Learn about the options below.
Flexible Bidding
The XYZ Digital Markets PPC Service relies on a second-price auction. Bids can be changed at any time. Vendor may decide to establish a monthly budget. When a budget is set and consumed, the campaign is paused and no additional clicks will be sent to vendor. Budgets can be adjusted at any time.
Automated Bidding
Automated Bidding streamlines the process of allocating bids for a PPC campaign. Automated Bidding sets bids on behalf of a vendor to optimize for an objective (e.g. maximizing clicks for a given budget).
By using Automated Bidding, Vendor gives XYZ Digital Markets permission to set bids in accordance with the stated objective. Any changes to a campaign enrolled in Automated Bidding, such as pausing, canceling, updating budgets, etc. may take up to one business day to take effect and may impact the algorithm's ability to achieve the objective.
Termination
Vendor may cancel the Service at any time without penalty by sending notice of cancellation. Your notice must be sent by email, include a reason for cancellation, and must be confirmed by us by email. Cancellation will occur within two business days of receipt of the cancellation notice email. XYZ Digital Markets also reserves the right to cancel the Service at any time without penalty. Our notice of cancellation will be confirmed by email and include a reason for cancellation. All click activity up until cancellation is the responsibility of the Vendor. Any outstanding fees are due immediately upon cancellation.
Refunds and Credits
Credit requests and claims of invalid clicks are considered on a case-by-case basis. To make a claim, email your account manager or team describing the click activity (dates of the traffic in question, etc.) with supporting data from your logs. All disputes must be made within 60 days of the invoice date.
We reserve the right to update this Service Description periodically to account for changes in our offerings and policies. Your continued use of the Service constitutes your agreement to the updated terms.
Use of this Service is governed by the terms of this Service Description, the General Vendor Terms for your country, the Product Listing Guidelines, and the Content Compliance Policy.
